After a brief pause in operations due to unforeseen personal matters we are now in a relaunch phase focusing on expanding SMGs reputation through strategic hires and key partnerships to drive future growth and success. Our previous engagements with top institutional investors and firms have validated our unique business model and productmarket fit. We are now looking to scale and expand our operations with a fresh capital raise to accelerate business development.

About the Role:

We are seeking an experienced Investment Banker to lead a seedstage capital raise ($250K $500K) as we scale SMG s infrastructure and services. This role involves developing investor materials reaching out to highnetworth investors and managing the capital raise process all in direct collaboration with the CEO. This is a remote position with a flexible schedule offering a successfee compensation structure with the potential for equity participation based on milestones.

Responsibilities:

• Lead Capital Raise: Spearhead a seedstage fundraising round managing the entire process from investor material development to closing deals.
  
• Investor Outreach & Negotiation: Target and engage elite highnetworth investors. Present investment opportunities and negotiate deal terms.
  
• Develop Investor Materials: Refine and leverage SMG s existing assets and marketing material to create a compelling investor package (pitch deck use of proceeds financials etc.).
  
• Strategic Planning: Define strategy for fundraising including identifying the right investors and optimal deal structures.
  
• Collaborate with the CEO: Work directly with the CEO to ensure alignment on goals strategy and progress through the fundraising cycle.
  

Requirements:

• Experience: 10 years in angel VC or PE capital markets with a proven track record of successfully raising capital (ideally $500K $5M) for earlystage highcaliber companies.
  
• Network: Extensive connections to elite highnetworth investors.
  
• Licensing: Active SEC/FINRA brokerdealer licenses in good standing.
  
• Skills: Strong communication negotiation and relationshipbuilding skills. A selfstarter who can independently manage the capital raise process and work closely with the CEO.
  
• Transparency: Ability to navigate a relaunch phase of a previously paused business understanding the dynamics of a startup with validated market fit.
  

Compensation:

• Compensation: Successfee based with the potential for equity participation contingent on fundraising milestones.
